Terms of Use
Grounds & Gear, published by Directive LLC
Effective date: not yet in effect (draft)
These Terms of Use ("Terms") are an agreement between you and Directive LLC ("we", "us"), the publisher of the Grounds & Gear mobile app ("Grounds & Gear" or the "App"). By downloading, installing or using the App, you agree to these Terms. If you do not agree, do not use the App.
1. Who may use Grounds & Gear
You must be at least 18 years old to use Grounds & Gear.
If you use Grounds & Gear on behalf of a business, you confirm you are authorized to accept these Terms for that business.
2. License to use the App
We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for your own household or personal property records, subject to these Terms and the rules of the app store you downloaded it from.
You may not: copy, modify or create derivative works of the App; reverse engineer it except where the law allows; rent, sell or sublicense it; or use it to break any law.
3. Your data stays on your device
Grounds & Gear stores everything you enter (homes, vehicles, schedules, documents, photos, expenses, contacts) on your device only. We do not run servers that receive or store your records, and we cannot see, recover or restore them.
Your records are included in your phone's own backups (iCloud Backup on iPhone, Google device backup on Android) when you have those turned on. Those backups are run by Apple or Google under their terms, not by us. You are responsible for keeping backups; the App also provides JSON and CSV export. If you lose or replace your device without a backup, your data may be lost permanently.
4. Your content
You own the information, photos and documents you add to Grounds & Gear. You confirm you have the right to store them, including any personal information about other people, such as household delegates or contractors.
5. Reminders, scores and reports are informational only
Grounds & Gear's maintenance schedules, due dates, mileage projections, Schedule On Track percentages, warranty alerts, bid comparisons and reports are estimates based on what you enter. They are not professional, engineering, mechanical, legal, tax, insurance or financial advice. See the Maintenance, Safety and Financial Disclaimer below, which is part of these Terms.
6. Calendar export and third-party services
If you export a calendar file (.ics) or a backup file, it is handled by whichever app or service you open it with. Those services have their own terms and privacy policies, and we are not responsible for them.
7. Fees
Grounds & Gear offers a free tier and paid subscription tiers. The features in each tier and their prices are shown in the App and on the store listing before you buy.
Billing: subscriptions are sold and billed by Apple (App Store) or Google (Google Play) under their terms. We never see your payment card details.
Automatic renewal: a subscription renews automatically at the end of each billing period (monthly or yearly) at the then-current price, unless you cancel at least 24 hours before the period ends.
Cancelling: you cancel in your phone's subscription settings (iPhone: Settings > your name > Subscriptions; Android: Google Play > Payments & subscriptions). Cancelling stops the next renewal; you keep paid features until the current period ends.
Free trials: if a trial is offered, it converts to a paid subscription at the end of the trial unless you cancel before it ends. Any unused part of a trial ends when you buy a subscription.
Refunds: refunds are handled by Apple or Google under their refund policies. We cannot issue refunds directly.
Price changes: if a price goes up, Apple or Google will notify you and, where required, ask for your consent before the new price applies.
Downgrades: if a subscription ends, your data stays on your device and remains viewable and exportable. Only paid features stop working.
8. Updates and changes
We may update the App and these Terms. If a change is material, we will show a notice in the App before it takes effect. If you keep using the App after the effective date, you accept the updated Terms.
9. Disclaimer of warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR THAT DATA WILL NOT BE LOST.
10. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST DATA, PROPERTY DAMAGE, VEHICLE DAMAGE, MISSED WARRANTY CLAIMS OR LOST PROFITS, ARISING FROM YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM OR US $50.
11. Indemnity
You agree to cover our reasonable costs if a third party brings a claim against us because of content you stored in the App or your breach of these Terms.
12. Governing law and disputes
Directive LLC is an Ohio limited liability company. These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Ohio, and you and we consent to their jurisdiction.
13. App store terms
If you downloaded Grounds & Gear from the Apple App Store: these Terms are between you and us, not Apple. Apple has no obligation to provide maintenance or support. If the App fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price, if any, and Apple has no other warranty obligation. Apple is not responsible for any claims relating to the App, including product liability, legal or regulatory compliance, or intellectual property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You confirm you are not in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
If you downloaded Grounds & Gear from Google Play, Google Play's terms also apply to your download.
14. Ending these Terms
You can stop using Grounds & Gear at any time by deleting it. We may end your license if you breach these Terms. Sections 3, 4, 5, 9, 10, 11 and 12 survive.

Maintenance, Safety and Financial Disclaimer
Grounds & Gear helps you keep records and reminders. It does not inspect, diagnose or repair anything, and it is no substitute for a qualified professional. This disclaimer is part of the Terms of Use.
Schedules and intervals are general guidance. Default intervals (for example, a 3-month HVAC filter or a 5,000-mile oil service) are common rules of thumb. Your manufacturer's manual, warranty terms and local codes take priority.
Mileage projections are estimates. Projected service dates come from your recent miles per day and can be wrong if your driving changes or a reading is entered incorrectly.
Schedule On Track and health statuses are summaries, not inspections. A "Healthy" home or vehicle means only that its logged schedules are current, not that it is safe or free of defects.
Safety first. For gas leaks, electrical hazards, structural concerns, brake or steering problems, or anything urgent, stop and contact a licensed professional or emergency services. Shutoff locations in the App are what you entered and may be out of date.
Warranty alerts are a courtesy. It is your responsibility to know your warranty terms and file claims on time. A missed or late alert does not extend any warranty.
Bids and contractors. The Vendor Bid Matrix compares information you enter. "License verified" and "Insurance verified" reflect your own checks; Grounds & Gear does not verify any contractor.
Money and taxes. Expense totals, cost-of-ownership figures and "tax deductible" tags are for your own organization. They are not tax or financial advice. Ask a tax professional before relying on them.
Insurance and registration dates. The digital glovebox stores what you enter. It does not replace the official documents you may be required to carry.
Coverage notices in the App. The vehicle's Digital Glovebox always shows two notices. Below the insurance card: "Proof of Insurance Notice: While digital proof of insurance is legally recognized in most jurisdictions, coverage validity remains subject to verification by law enforcement and state electronic insurance verification databases (IIVS)." Below the registration: "State Compliance Notice: This digital record is for personal tracking, renewal scheduling, and domestic reference only. Most jurisdictions strictly require the original, physical paper registration card to be carried inside the vehicle at all times." Home policy records (carrier, deductible, premium, declaration page) are for your own reference; your insurer's documents govern your coverage, and renewal reminders are a courtesy.
To the fullest extent the law allows, we are not responsible for damage, injury, loss, missed maintenance or missed deadlines that result from relying on the App.
